Master Service Agreement.

1. Definitions and Interpretations

In this Agreement, "The Company" refers to SHEFA FOODS LTD (Company No. 09482103), and "The Client" refers to the entity or individual engaging our professional culinary services. "Services" encompasses food preparation, logistics, catering personnel, and nutritional consulting.

2. Contractual Formation

An engagement is considered legally binding only upon the written execution of a Service Order or the digital confirmation of a subscription via our enterprise portal. The Company reserves the absolute right to refuse service to any entity that does not meet our credit-worthiness or ethical-sourcing criteria.

3. Financial Framework

All prices quoted are in Great British Pounds (GBP) and are exclusive of Value Added Tax (VAT) unless otherwise specified. Payment terms for corporate accounts are Net 14 days from the date of invoice. Late payments shall accrue interest at a rate of 8% above the Bank of England base rate per annum, as per the Late Payment of Commercial Debts (Interest) Act 1998.

4. Logistical Liability & Force Majeure

While SHEFA FOODS LTD utilizes state-of-the-art predictive logistics, we are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to: extreme weather events, civil unrest, or catastrophic failure of UK infrastructure. In the event of a logistical failure, our liability is strictly limited to the refund of the specific affected order.

5. Health, Safety & Allergen Disclosure

The Client bears the primary responsibility for disclosing all known food allergies of their personnel or guests at least 48 hours prior to delivery. SHEFA FOODS LTD operates a strict cross-contamination protocol; however, we cannot guarantee a "zero-particle" environment for extremely rare or un-disclosed sensitivities.

6. Intellectual Property

All recipes, nutritional algorithms, and branding materials remain the exclusive property of SHEFA FOODS LTD. The Client is granted a limited, non-transferable license to utilize our brand for internal event promotion only.
